Rafi’s practice focuses on corporate and commercial law and in particular in mergers and acquisitions, corporate finance, investments and intellectual property focusing on domestic and international business transactions in the High Tech sector. He has unique expertise in representing emerging High Tech companies from set up to the buy-out stage and in representing leading investors in structuring and negotiating their investments. Rafi provides his clients with ongoing consultancy on a wide variety of subjects from the establishment of the company, through seed investments, venture capital investments, strategic collaborations, acquisitions and beyond.
Rafi has extensive experience in negotiating and drafting agreements for the research and development, licensing, manufacturing, sale and other commercialization of software, biotechnology and pharmaceutical products, medical devices and multimedia and entertainment products and content. Rafi has negotiated agreements for the protection and licensing and other transfer of a wide range of intellectual property rights. Rafi has unique experience in internet new media companies and social gaming companies.
Before founding Raz Dlugin, Rafi was a partner with the law firm of Berkman, Wechsler, Bloom & Co. , where his practice focused on a wide variety of corporate matters, including high profile mergers and acquisitions, corporate finance, various technology licensing transactions and others.
Rafi completed his studies at the Interdisciplinary Center, Herzelia, Israel with LL.B. degree with Business Administration, majoring in finance.

Ran has a diverse corporate and commercial law practice with an emphasis on mergers and acquisitions and corporate finance transactions. He has significant experience representing emerging High Tech companies in negotiating and structuring venture capital investments and advising clients in domestic and cross-border merger and acquisition transactions. Ran also assists his clients with their ongoing business activities, from formation to exit, including commercial agreements and transactions, joint ventures and general corporate and governance matters.
Before founding Raz Dlugin, Ran practiced law in New York with the law firm of McDermott Will & Emery LLP, a leading international law firm. At McDermott, Ran’s practice focused on a wide variety of corporate matters, including mergers and acquisitions, tender offers, going private transactions, public and private offerings of securities (including PIPEs), and others. He also regularly advised clients on compliance with reporting requirements under U.S. federal securities laws, compliance with stock exchange rules, and other general corporate matters. Upon his return to Israel in early 2007, Ran joined the law firm of Goldfarb, Levy, Eran, Meiri & Co, where he continued to focus on mergers and acquisitions and venture capital transactions and was involved in some of the most notable transactions in the Israel market.
Ran received a Bachelor of Laws (LL.B.) degree from the Tel-Aviv University School of Law and a Master of Laws (LL.M.) degree, with highest honors, from the George Washington University Law School in Washington, D.C.
